Terms of Use & EULA
These Terms of Use ("Terms") constitute a legally binding agreement between you ("you", "user") and Ahmad Al-Haj-Ali, an individual software developer in Ontario, Canada ("we", "us", "developer"), regarding your installation, access, and use of the Monvelio application for macOS, iOS, and iPadOS (the "App") and the website hosted at https://monvelio.app.
By downloading, installing, or using the App, you agree to be bound by these Terms. If you obtained the App from Apple's App Store, Apple’s Licensed Application End User License Agreement (the "Standard EULA") also applies, and these Terms supplement Apple’s Standard EULA. In the event of an unavoidable conflict between these Terms and Apple’s Standard EULA, Apple’s Standard EULA shall govern for matters directly covered by it.
1. Limited License Grant
We grant you a personal, non-transferable, non-exclusive, revocable license to install and execute the App on Apple-branded hardware devices running macOS or iOS that you own or control, strictly in compliance with Apple’s App Store Usage Rules. You may not decompile, reverse engineer, disassemble, decrypt, modify, rent, lease, loan, sell, or distribute the App, except as expressly permitted by applicable law.
2. Your Data and Financial Records
You retain sole and exclusive ownership of all proprietary data, accounting entries, split transactions, contacts, receipts, and attachments created or imported into the App. Because Monvelio operates on a local-first architecture where data is stored directly on your physical hardware, you are entirely responsible for maintaining routine, encrypted backups of your local databases. We cannot recover, restore, or access data lost due to hardware failure, operating system reinstallation, or deleted iCloud storage.
3. Disclaimer: Not Professional Accounting or Legal Advice
Canadian and provincial tax legislation, deductions, capital cost allowance classifications, and filing deadlines are subject to statutory amendments and depend on individual entity facts. You must verify all figures with a Chartered Professional Accountant (CPA) or certified tax specialist prior to submitting tax filings or financial statements to the Canada Revenue Agency (CRA) or Revenu Québec.
4. In-App Purchases and Subscriptions
- Monvelio Pro: Advanced functionality—including multi-entity corporate groups, automated bank statement ingestion, CRA tax schedules, and iCloud synchronization—requires an active subscription to Monvelio Pro, offered on a monthly or annual auto-renewing basis.
- Payment & Billing: Payment will be charged directly to your Apple Account at confirmation of purchase.
- 14-Day Free Trial: Any free trial period automatically transitions to a paid recurring subscription unless canceled at least 24 hours prior to the conclusion of the trial period.
- Auto-Renewal: Subscriptions renew automatically unless auto-renew is disabled in your Apple Account settings at least 24 hours before the end of the current billing cycle.
- Cancellation & Refunds: You may manage or cancel subscriptions at any time via Apple Account ▸ Subscriptions on your Mac, iPhone, or iPad. All refund requests are governed and processed exclusively by Apple in accordance with App Store policies.
5. Acceptable Use Policy
You agree not to use the App for any illegal purpose, including but not limited to fraudulent accounting, money laundering, deliberate tax evasion under the Income Tax Act, or violation of third-party intellectual property rights.
6. Limitation of Liability
To the maximum extent permitted by applicable Canadian law, in no event shall the developer be liable for any indirect, incidental, punitive, special, or consequential damages, or for loss of profits, corporate revenue, data, business goodwill, or penalties and interest assessed by tax authorities arising out of the use or inability to use the App. Our maximum total liability for any claim shall not exceed the aggregate fees paid by you for the App during the twelve (12) months preceding the event giving rise to liability.
7. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to conflict of laws principles. Any legal proceeding arising out of these Terms shall be instituted exclusively in the competent courts located in Ontario, Canada.
